Join our team and help deliver unforgettable experiences that make vacation dreams come true.Position SummaryThis Paralegal II position is based at MVW’s headquarters in Orlando, Florida and reports to the Senior Vice President and Associate General Counsel within the MVW Law Department’s Corporate Affairs & Finance practice group. The primary focus of this position is supporting MVW’s Board of Directors, assisting with drafting and reviewing filings with the Securities and Exchange Commission, maintaining equity ownership records, assisting with implementing MVW’s security trading policy, assisting with document collection and production for M&A due diligence, preparing schedules for corporate agreements, assisting in preparing and posting materials for board and committee meetings; drafting certificates, resolutions and minutes; assisting with M&A, financing, capital markets, securitization and other transactions; assisting the Corporate Secretary, and other tasks as assigned. This position requires excellent communication and interpersonal skills essential to interacting with attorneys, senior management, and board members. Additionally, the right candidate will have strong organizational skills and attention to detail, ability to work independently.with minimal supervision under tight deadlines. Periodic overtime during evenings and weekends may be required.Expected Contributions

  • Prepare draft materials for board and committee meetings, including agendas, resolutions, minutes and preparing board materials in Board Vantage.
  • Maintain and obtain EDGAR codes, equity ownership records for Section 16 officers, and draft and file Section 16 filings (including Forms 3, 4 and 5).
  • Assist in preparing documents for the annual meeting of stockholders, coordinate meeting details with third parties, and support MVW’s director and officer questionnaire process.
  • Assist with documents for M&A, financing, capital markets and other transactions, including due diligence, data rooms, and closing documents and schedules.
  • Prepare draft documents for complying with securities laws, including Form 8-K, Proxy Statement, registration statements, and prospectuses.
  • Proof and review documents for accuracy, consistency, and proper English.
  • Research and analyze corporate documents, including articles, bylaws, and resolutions.
  • Prepare drafts of corporate policies.
  • Draft agreements and other legal documents.
  • Assist in providing support for corporate governance requirements.
  • Provide support for the company’s loan securitization program and warehouse facility, which may include assistance with document preparation, organization and compilation of materials requested by outside counsel law firms and liaising with internal teams.
  • Perform other duties and special projects as assigned.

Candidate ProfileEducation:

  • Four-year college degree or equivalent qualifying work experience with an excellent performance record.
  • Certificate from an ABA-approved paralegal program or qualifying legal experience.

Experience:

  • Relevant work experience (minimum of 3 years), including substantive corporate and/or M&A transactional paralegal experience.
  • Familiarity with Delaware General Corporation law and securities laws and regulations.
  • Ability to perform legal and factual research of varying degrees of complexity, identify issues and relevant matters, and prepare documents, charts, and graphs that clearly detail the findings for senior executives and Board members.
